2013 Annual Meeting Announcement

Notice of 2013 Annual Meeting

Notice is hereby given to members of the Boulder Subdivision Homeowners Association regarding the 2013 Annual Meeting.  The Meeting is being held at  Northampton Town Hall, which is located at 851 W. Bath Road, Cuyahoga Falls, OH  44223 on the 4th day of December, 2013, at 7:00 p.m., at which time sign in will begin.  The Meeting will be promptly convened at 7:30pm. 

The sole purpose of this Meeting is to elect one (1) member of the Board of Directors to replace a member whose term is ending on this date.  Election of one (1) Director is consistent with ORC 5312, which requires that the terms of Directors not less than one-fifth (1/5) is to expire annually.

The Agenda for the Meeting is as follows:

1.     Calling of Meeting to order;
2.     Proof of Notice of Meeting or waiver of Notice;
3.     Reading of minutes of preceding meeting;
4.     Reports of officers;
5.     Reports of committees;
6.     Election of inspectors of election;
7.     Election of Members of the Board;
8.     Unfinished and/or old business
9.     New business; and
10.                        Adjournment.

Candidates interested in running for the position on the Board shall be nominated from the floor.  Only members of the Association who are title holders will be permitted to cast one (1) vote per Lot at this Meeting.  Members may elect from among all of the Owners and their spouses candidates for the Board, casting one (1) vote per Lot.  Those who may be interested in becoming a candidate should be prepared to explain by way of a two (2) minute presentation why he/she is qualified to be a Director of the Association. 

After the election of the Director, the Board of Directors will decide who will be the president, vice president, secretary and treasurer of the Association.  The additional authority for conducting and calling this Meeting is ORC 1702, which does not permit balloting by Proxy unless the Code/Bylaws permits such voting.  Therefore, all votes will have to be cast in person.

All Owners must be current with the payment of their dues; otherwise, their voting privileges may be suspended at this Annual Meeting.

Under the authority of ORC 1702, the attendance by any of the members of the Association at a meeting means that if attended by one (1) person, that person can be elected to the Board.  Since it is important that a Board consist of concerned and volunteer members of the Association, everyone is urged to attend the Annual Meeting for 2013.

Also please note that the Code of Regulations will be presented to the Members at this meeting for purposes of being adopted pursuant to Ohio Revised Code 1702.  The Association is a nonprofit corporation, but the Developer never adopted the Code of Regulations.  The Code will provide the roadmap, so-to-speak, as to how future meetings are conducted within the Association.  Your Association attorney who has thirty-seven (37) years’ experience representing associations will attend the meeting.  If you have any questions regarding the Association he will answer those issues also.
