Meeting Minutes
Tuesday, September 25, 2012
Opening:
The 2ndAnnual Meeting of the Boulder Subdivision
Homeowners Association, to be referred as BSHOA, was called to order by
Jonathan Long and 2nd by Melinda Skinner at 7:32 pm on September 25,
2012 at the Northampton Town Hall located at 851 West Bath Road, Cuyahoga
Falls, OH 44223, which is at the corner
of West Bath and Northampton roads, next to the Fire Station.

There were 11 properties out of 61 properties represented as
follows:

A. Approval of Agenda
The agenda was unanimously approved as distributed, per the
Notice of 2nd Annual Meeting given to all current Boulder
Subdivision Homeowners Association Members.
B. Approval of Minutes
Steve Harsh read the September 28, 2011 minutes. Arthur Foth and Tom Meeker approved the
minutes and all present was in favor.
C. Open Issues
Jonathan Long stated that Bill Cornell, the BSHOA’s
Treasurer, had resigned due to relocation to Pittsburg and that he has been
acting Treasurer. As of August 31, the
BSHOA’s checking account is $5,214.92.
Next year’s budget consists of Lawn Maintenance $3,500 for 30 weeks of
mowing, the BSHOA’s insurance is $940.00 annually and the retainer for Arthur Foth,
renting the Town Hall, sending out letters, etc. determines our annual dues.
The next BSHOA’s dues are due January 2013.
C. Open Issues continues.

JC Rogerson asked the
board if Mike Orley has been giving the BSHOA the $300.00 for each new home
purchased. Jonathan Long said that Mr.
Orley has been complying.
Joe Martis asked if all BSHOA Members paid their dues. Jonathan Long said that there are 10 properties
that have not paid 2011 annual dues and the same have not paid for 2012 annual
dues. Jonathan Long said that the next
step will be sending out Mr. Foth’s letter.
Trish Rogerson asked if Mr. Orley is giving the new
homeowners a packet from the association.
We should double check with Mr. Orley.
Attorney Arthur Foth feels that Mr. Mike Orley wants to
complete and is going to make good on our development.
Attorney Arthur Foth was adamant about the Association
having a Reserve Account. We must have
one, but if we do not, then we need to waive it when we vote on the Covenant
& Restrictions. Also we should have
a reserve study done on the retention basins in the near future. This will help determine how much our annual
dues should be.
Graham Baciak asked if Mike Orley has plans to build at the
corner of Boulder and Quartz? Jonathan
Long stated that the corner lot is owned by Jennifer Keefer, also known as
Jennifer Orley. Graham would like to see
that property mowed at least on a weekly basis.
Art suggests that we speak to Mike Orley about this problem.
D. New Business
Attorney Arthur Foth opened nominations for one Board of
Directors position. JC Rogerson
volunteered to serve on the BSHOA Board.
The Board will meet after the BSHOA’s Annual Meeting to determine each
Board Members position.
Attorney Arthur Foth conveyed the need for the BSHOA to
begin the process to create and vote on the Covenants and Restrictions. He said, “We need to protect our
properties”. Art asked if anyone is in
favor of letting the 25% who have not paid their dues off the hook. Trish Rogerson said, “No way!”
Art said letters will need to be sent. Collection letter to foreclose on properties
that have not paid their dues. If not
paid, house is leaned. We need to get
those receivables.
Dave Law inquired about getting a sign for our
development. The Board stated that we
needed to concentrate this first year to get operational. Attorney Arthur Foth suggested that we
nominate a committee to work on the sign issue.
Dave Law, Eric Skinner and Dave Kotecki (Head of Committee) are on the
Boulder Sign Entrance Committee. Per
Attorney Arthur Foth, the Boulder Sign Entrance Committee has no authority to
spend money. They must report to the
Board of Directors.
Trish Rogerson asked if we can put a sign at the entrance of
Boulder. Jonathan Long said yes we can
as the Association has a 60’ right away.
The City will let us know where we can have a sign. Jonathan Long motioned to put a sign at
entrance of development. All present
were in favor.
Dave and Jean Law would like to see the split rail fences
around the retention basins, similar to our neighbors in the Ryan
Development. Jonathan Long said we will
put this in future consideration.
E. Old Business
Amend the code by laws.
The board will meet to discuss this topic.
Retention Basins within the common areas, are in the BSHOA's
name. Work has been done and Mr. Orley
is working with the city.
Behind Sewer Pump, Mike is doing due diligence.
The sidewalks are Mr. Orley’s responsibility. There will be no sidewalks at the curb cut at
the entrance of Boulder.
Trish Rogerson asked what is going on with the crazy mowing
in the BSHOA? Jonathan Long said because
the property behind is owned by Mr. Cartwright.
The Association has a 60’ right away.
Graham Baciak asked how far does phase 3 go? Jonathan Long will get information from Mr.
Orley.
Betty Epple asked how many homes in phase 3? Joe Martis said he believes Mr. Orley said
there were going to be approximately 120 homes when all three phases are
complete.
F. Agenda for Next Meeting
None was mentioned
Adjournment:
Meeting was adjourned at 8:27 pm by Jonathan Long 1st
and Graham Baciak 2nd. The
next BSHOA Annual Meeting will be at determined by the Board of Directors prior
to September 2013.
